 Registering business as a DBA is the simplest form of business structure.You do not have to file annual reports every year or paying franchise taxes to maintain it. You can create a dba either for an entity or a sole proprietorship.

The basic requirement to file a dba

  • File with the secretary of state or county clerk's office
  • You can file as an adoption dba or a sole proprietorship
  • Some states and counties are required to run a legal notice in a local newspaper for one week or 30 days. Newspaper publication is mandatory and must be filed as soon the dba is registered with the County Clerk's office. For Example, in California state Dba/ Fictitious name publication must run within 30 days of the registration. A legal notice is run in the legal part of the newspaper which includes dba name, owner name and address. After a successful run the newspaper issue an affidavit which needs to filed with the county clerk to fulfill the registration requirement.

 

 Renewal and Editing a DBA

  • In most states, a dba is required to renew every after the specific period.
  • In most states to change or add an owner or to change business name, you must file an amendment to the original application.
  • In a few states, if a DBA name is used in a professional term, like: Clinic, Orthopedics, engineering, etc. requires an additional consent by the licensing issuing department, like: Department of Education, banking, etc.
  • You may have to run newspaper publications again, if you have changed the business address, such as the State of California.

 

 Registered Agent for a Sole proprietorship:

  • A Sole proprietor cannot use the registered agent address for registration purpose.
  • The owner(s) must live in the state with a street address in order to create a dba in most states.
