Reason to Dissolve a Corporation in Nevada:

 

You can have many reasons to close your business, like not doing well, personal issues or etc. Once you have made up your mind to close down the corporation, you must follow the following steps.

 

What is a procedure to terminate a Corporation in Nevada?

 

  • File all finally returns with the Federal and State authority before filing a dissolution to avoid rejecting of your LLC termination of the state.
  • File certificate of dissolution for a Nevada Profit Corporation with the Secretary of State.
  • The resolution of dissolution must be approved by both the directors and stockholders.
  • Pay all liabilities includig State Taxes, Sales Tax (if applicable) and Payroll Taxes (if applicable).
  • Your company must be in a good standing in order to file a certificate of dissolution.
  • You have to liquidate and  distribute the Corporation assets to the stockholders.
  • You have to notify and surrender licenses if applicable.
  • Verify filing is submitted on the correct form prescribed by the Secretary of State.
  • Forms must include appropriate signatures as required.
  • If applicable, include the appropriate names and addresses as requested on the form.
  • If adding new managers or general partners, their names and addresses must be set forth.
  • Documents must reflect the complete name of the entity as registered with the Secretary of State.
  • Attach all pages that are referenced as attachments.
  • Verify that the status of the entity is not revoked.
  • Verification may be made by visiting our Web site at www.nvsos.gov or calling this office.
  • The correct filing date must be provided when required.
